1. Agreement
These Terms of Service ("Terms") govern access to and use of Crucible's websites, applications, and related services (collectively, the "Service") operated by Crucible ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms.
2. The Service
Crucible provides execution intelligence software for accelerator programs, venture funds, and related operators. Features, availability, and integrations may change as we improve the product. We may update the Service with or without notice.
3. Accounts & access
You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. You must provide accurate registration information and notify us promptly of unauthorized use.
4. Customer data
You retain ownership of data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service, support security, and fulfill our contractual obligations. Our handling of personal information is described in our Privacy Policy.
5. Acceptable use
You agree not to:
- Use the Service in violation of applicable law or third-party rights
- Attempt to gain unauthorized access to systems, accounts, or data
- Reverse engineer or scrape the Service except as permitted by law
- Interfere with the integrity, security, or performance of the Service
- Resell or sublicense the Service without our written consent
6. Fees & payment
Paid plans are billed according to the order form or pricing page in effect at signup. Fees are non-refundable except where required by law or expressly stated in your agreement. We may suspend access for overdue payments after reasonable notice.
7. Confidentiality
Each party may receive confidential information from the other. The receiving party will use reasonable care to protect such information and will not disclose it except as needed to perform under these Terms or as required by law.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CRUCIBLE SIGNALS AND INSIGHTS ARE INFORMATIONAL AND DO NOT CONSTITUTE INVESTMENT, LEGAL, OR FINANCIAL ADVICE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING FROM THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Termination
Either party may terminate for material breach not cured within thirty days of written notice. Upon termination, your right to access the Service ends. We will make Customer Data available for export for a reasonable period where commercially practicable.
11. Governing law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, unless otherwise agreed in writing.
